General Terms and Conditions of Sale for Fistula Solution Products

Welcome to Fistula Solution Corporation! We're committed to providing top-quality products and exceptional service to our customers across the United States. Please review the following terms and conditions ("Terms") carefully before making any purchase.

Acceptance of Terms

By placing an order for Fistula Solution products ("Products"), you acknowledge and agree to abide by these Sales Terms. Please note that any purchase order or document submitted by you ("Customer") is subject to our acceptance of these Terms.

Pricing, Freight, Payment, Shipping, Returns

Product prices are listed in our official Fistula Solution price pages or electronic order systems at the time of your order placement. Standard payment terms are net 15 days from the date of our invoice, unless otherwise specified. Please refrain from making any deductions or adjustments without our prior written approval.

Our products are shipped F.O.B. destination, with title and risk of loss transferring to you upon delivery. While standard shipping is included in our product prices for your convenience, any alternative shipping requests will incur additional costs to you, the Customer.

Returns are subject to our applicable return goods policy and require advance authorization from Fistula Solution. Upon inspection of the returned product, we will issue a revised invoice to your accounts payable team.

Compliance

Fistula Solution is committed to manufacturing and selling products that comply with all relevant federal, state, and local laws. We expect our customers to adhere to all applicable laws regarding the handling, transportation, storage, use, and disposal of our products.

Product Information, Selection, and Use

While we provide product information, including technical specifications and instructions for use, for your convenience, please note that the accuracy and completeness of this information are not guaranteed. It's your responsibility to evaluate and select products that are suitable for your intended purpose and usage. Repackaging, resale, or redistribution of our products without prior written consent is strictly prohibited.

Warranty, Disclaimer, Limited Remedy

We stand behind the quality of our products. Unless otherwise specified, we warrant that each product meets our applicable specifications upon shipment. However, we make no other warranties or conditions, express or implied, including but not limited to, merchantability or fitness for a particular purpose. If a product does not conform to our warranty, your sole remedy replacement or refund at our discretion.

Limitation of Liability

Except as expressly provided above, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to our products, regardless of the legal theory asserted.

Order Cancellation

Order cancellations require our written consent. If approved, you may be responsible for costs and expenses incurred by Fistula Solution that cannot be reasonably recovered through resale of the products.

Taxes

Please note that product prices do not include any applicable taxes or fees imposed by governmental authorities. You are responsible for the full payment of any such taxes.

Effect of Other Agreements, Terms

If specific agreements or terms exist between Fistula Solution and you, they will take precedence over these Sales Terms. By placing an order through our systems, you agree to be bound by all terms and conditions set forth in our price pages, order forms, or systems.

Governing Law, Dispute Resolution

Any claims or disputes arising from or relating to these Sales Terms, orders, or products shall be resolved through binding, informal arbitration. The exclusive jurisdiction and venue for any litigation shall be in Washington County, Minnesota, and you agree to submit to the jurisdiction of such court.
